The directors were responsible for conducting and managing the whole business and affairs of the society, subject to the control of the shareholders in general meeting.
The directors had the power to appoint, fix the remuneration of, and delegate any of their powers to one or more managing directors or a manager. They could also appoint and fix the remuneration of a secretary, treasurer and any employees of the society. They also had the power to form and delegate powers to subcommittees for the superintendence of the various branches of the business and establish and delegate powers to local boards or agencies for the management of any of the affairs of the society abroad or in any specified location in the UK. They could also determine the price of goods and services sold by the society.
The directors caused accounts to be kept in books of the assets, liabilities, receipts and expenditure of the society. They had to present a statement of account, balance sheet and report on business to the shareholders at each annual general meeting.
Management of company
In 1871, the number of directors was set at eight. The number could be altered by the society in general meeting. Each director had to hold at least five hundred shares. In 1914, the number of directors was changed to no less than six and no more than eight, and, in 1947, to no less than four and no more than ten.
